Welcome to Nubisly, LLC ("Nubisly," "we," "us," or "our"). These terms and conditions ("Terms") apply to the services offered by Nubisly, including cloud consulting, migration, and management services. By accessing or using our services, you agree to be bound by these Terms.

1. Service Agreement

Nubisly provides cloud consulting services to assist you in designing, deploying, and optimizing your cloud environment. We may provide recommendations for cloud infrastructure, application architecture, security, and performance optimization. However, the final decision and responsibility for the implementation of any recommendations is yours.

2. Fees and Payments

Fees for our services will be outlined in a separate agreement between you and Nubisly. Payment terms and methods will also be outlined in this agreement. Nubisly reserves the right to terminate or suspend your access to our services in case of non-payment or violation of payment terms.

3. Confidentiality

Nubisly agrees to maintain the confidentiality of your data and any other information related to your business that you share with us. We will not disclose or use this information for any purpose other than providing our services to you.

4. Ownership of Work Product

Nubisly retains ownership of all work product, including deliverables, documentation, and any other materials produced in connection with the provision of our services. You will receive a license to use this work product for your internal business purposes only.

5. Disclaimer of Warranties

Nubisly provides our services on an "as is" basis and does not guarantee that our services will meet your requirements or be error-free. We disclaim all warranties, whether express or implied, including without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

In no event shall Nubisly be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services, including without limitation, any loss of data, business interruption, or lost profits, even if we have been advised of the possibility of such damages.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the state. Any disputes arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Nashville, TN.

8. Modification of Terms
